Terms and Conditions of Sale
1. Introduction and Acceptance
1.1 These Terms and Conditions ("Terms") govern the sale of goods by Composite Stands Pty Ltd (ABN 67 624 604 842), located at 20 Matheson Street, Virginia, QLD 4014, Australia ("we", "us", or "our") to business customers ("Buyer").
1.2 By placing an order (via purchase order, EFT, credit card, or other means), the Buyer agrees to be bound by these Terms.
1.3 These Terms supersede any prior agreements or understandings and apply to all sales, unless a separate written agreement signed by an authorised representative of Composite Stands Pty Ltd states otherwise.
1.4 We reserve the right to amend these Terms at any time. The version in effect at the time of order placement applies.
1.5 If the Buyer does not agree to these Terms, no order should be placed.
2. Definitions

Goods: Our range of durable and lightweight support stands and accessories made from composite technology, designed to support heavy machinery, vehicles, and vessels during service, maintenance, and/or storage. Includes both standard and customised products.

Order: Any request to purchase Goods, whether via purchase order, EFT, credit card payment, or other approved methods.

Purchase Price: The price quoted for Goods, inclusive of applicable Australian taxes (e.g. GST). Excludes freight, import taxes, and customs duties unless specifically listed as invoice line items. Credit card payments incur a 3.5% processing fee.
3. Ordering and Acceptance
3.1 Orders may be placed via:

Purchase order is preferred (email to sales@compositestands.com),

EFT,
-
Credit card over the phone, or
-
Other agreed methods.
3.2 Orders are subject to our acceptance, which we may withhold at our discretion (e.g. stock availability, credit checks).
3.3 We will confirm acceptance in writing (e.g. by email or invoice).
3.4 For custom Goods, we may require detailed specifications. Changes after acceptance must be agreed in writing and may incur additional costs or delays.
3.5 Returns and/or refunds for custom Goods will not be permitted unless the Goods are faulty.
3.6 We currently supply globally, with manufacturing based in Australia. Future facilities in the USA and Europe may alter delivery or terms. Updated Terms will be published on our website as required.
4. Pricing and Payment
4.1 Quotes

Prices are quoted in AUD or USD.

Quotes are valid for 30 days unless otherwise stated.

Prices may change without notice due to material costs, exchange rates, or other factors.
4.2 Taxes and Duties

GST applies under Australian law.
-
International Buyers are responsible for customs duties, import taxes, and similar charges.
4.3 Payment Terms

Approved credit Buyers: Net 30 days from invoice date.

New Buyers / initial Orders: Full payment is required upfront before dispatch.

Accepted payment methods: EFT, credit card, or other approved methods.

Overdue payments will incur interest at 1.5% per month (or the maximum allowed by law).

Failure to pay may result in suspension of deliveries or withdrawal of credit.
4.4 Title and Risk

Title remains with us until full payment is received.

Risk of loss or damage passes to the Buyer upon dispatch.

If payment is not made, we may terminate the Order and retain deposits or partial payments as liquidated damages.
5. Delivery and Shipping
5.1 We will coordinate shipping using reputable carriers. Shipping costs (including insurance, freight, and handling) are the Buyer’s responsibility and will be added to the invoice unless otherwise agreed.
5.2 Delivery times are estimates only and not guaranteed. We will not be liable for delays outside our control (e.g. carriers, customs, force majeure).
5.3 For international shipments, the Buyer is responsible for import/export compliance, customs clearance, and related costs.
5.4 Risk passes to the Buyer upon dispatch. The Buyer must inspect Goods upon receipt and notify us of any defects or discrepancies within 7 days; otherwise, the Goods will be deemed accepted.
5.5 Returns will only be accepted for defective Goods under warranty (see Section 6). Change-of-mind returns will not be permitted unless agreed in writing.

6. Warranty
6.1 Coverage

Warranty period: One (1) year from the purchase date.

Remedy: Repair or replacement (at our discretion) of Goods failing due to defects in material or workmanship, or failure to meet any implied warranty not excluded.
6.2 Claims Process

Return Goods freight prepaid to: 20 Matheson Street, Virginia, QLD 4014, Australia.

Include proof of purchase and a written description of the issue.

We will inspect the Goods and, if valid, repair or replace them.
6.3 Limitations

Exclusive remedy: repair or replacement.

We will not be liable for consequential, incidental, indirect, special, or punitive damages (including lost profits, business interruption, or damage to supported items).

Express and implied warranties (including merchantability and fitness for purpose) are limited to one (1) year.
6.4 Exclusions

Misuse, improper installation, or unauthorised modifications

Accidents or neglect
-
Failure to follow our operation manual (e.g. pre-use checks, load ratings, ground suitability, technician training)
6.5 Jurisdictional Rights
-
Some jurisdictions restrict warranty limitations or exclusions. In such cases, these limitations may not apply. The Buyer may have additional rights depending on location.
7. Limitation of Liability and Risks
7.1 Our maximum liability for any claim is limited to the Purchase Price paid for the affected Goods.
7.2 We will not be liable for consequential losses (see Section 6).
7.3 Use of Goods is at the Buyer’s and end user’s sole risk. The Buyer must ensure:

Goods are correctly rated for the intended load,

The supporting ground/surface is suitably rated,
-
Technicians are trained and comply with pre-use inspections, manuals, and company standards.
7.4 Failure to comply may void warranties. We accept no liability in such cases.
8. Intellectual Property and Confidentiality
8.1 The technology, processes, and materials used in manufacturing the Goods are patented and protected by intellectual property laws. The "Composite Stands" name is a registered trademark. You agree not to copy, reverse-engineer, disassemble, or otherwise infringe our intellectual property rights.
8.2 Any custom designs, modifications, or new products (including but not limited to support stands designed for specific applications or tasks) developed by us, whether based on specifications, requirements (e.g. heights, connection designs), or other information provided by you, remain the sole and exclusive property of Composite Stands Pty Ltd. You acknowledge that providing specifications or requirements does not grant you any ownership, license, or rights in the resulting design or product, except the right to use the purchased Goods as intended. You grant us a worldwide, royalty-free, non-exclusive license to use any specifications or information you provide solely for the purpose of designing, manufacturing, and fulfilling your Order.

8.3 We reserve the right to use, modify, or adapt any custom designs for other customers or purposes without restriction, provided such use complies with confidentiality obligations below.

8.4 This clause survives termination of these Terms or the Order.
9. Termination
9.1 We may terminate an Order or these Terms immediately if the Buyer:

Fails to make payment when due,
-
Breaches these Terms, or
-
Becomes insolvent or enters administration.
9.2 Upon termination:
-
The Buyer must pay all outstanding amounts, and
-
We may repossess unpaid Goods.
10. Dispute Resolution
10.1 Disputes will first be addressed through good-faith mediation in Brisbane, QLD, Australia.
10.2 If mediation fails, disputes will be resolved in the courts of Queensland, Australia, and the Buyer submits to their exclusive jurisdiction.
11. Governing Law
11.1 These Terms are governed by the laws of Queensland, Australia.
11.2 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
11.3 For international sales, these Terms apply subject to mandatory local laws (e.g. New Zealand).
12. Force Majeure
12.1 Neither party will be liable for delays or failures caused by events beyond reasonable control, including:

Natural disasters,
-
Wars or strikes,
-
Pandemics,
-
Supply shortages,
-
Cyberattacks, &
-
Government actions.
Payment obligations are excluded from force majeure relief.
13. Miscellaneous
13.1 Entire Agreement: These Terms constitute the full agreement.
13.2 Severability: Invalid provisions do not affect the enforceability of the remainder.
13.3 Waiver: Failure to enforce a right is not a waiver of future rights.
13.4 Assignment: The Buyer may not assign without our written consent.
13.5 Electronic Communications: Orders and notices may be electronic and are binding.
13.6 Data Privacy: We comply with Australian privacy laws. See our Privacy Policy.
13.7 Industry Compliance: Goods comply with relevant Australian and global standards. The Buyer is responsible for ensuring compliance in their jurisdiction.
